Welcome to Apex orient Technologies Limited ("Company", "we", "us", or "our"). These Terms & Conditions govern your access to and use of our website, products, and services, including hardware and software solutions for retail IoT technologies (collectively, the Services). By accessing or using our Services, you agree to comply with and be bound by these Terms.

If you do not agree with any of these Terms, do not use our Services.

  1. Definitions

  • Client: Any business entity that purchases, subscribes to, or uses our hardware or software solutions.

  • Hardware: Physical IoT devices, including but not limited to electronic shelf labels, digital displays, people-counting sensors, and related accessories. 

  • Software: Cloud-based or on-premise software solutions for managing retail IoT technologies, including content management systems and analytics tools.

  • Subscription: A recurring fee-based service for software access, support, or maintenance.

   2. Definitions

   2.1 Hardware Sales - We provide IoT hardware solutions either directly or through authorised distributors. Sales are subject to specific agreements, warranties, and service terms.

   2.2 Software Licensing & Subscription - Our software is offered on a license or subscription basis. Clients receive a non-exclusive, non-transferable right to use the software as per the agreed terms.

   2.3 Support & Maintenance - We offer technical support, software updates, and maintenance services based on specific service level agreements (SLAs).

   3. Order & Payments

   3.1 Orders - Orders for hardware and software must be placed in writing and are subject to acceptance by us.

   3.2 Pricing - Prices are provided in official quotations and may change without notice unless stated otherwise in a binding agreement.

   3.3 Payment Terms - Payments must be made as per the agreed terms. Late payments may incur interest charges and result in suspension of services.

   3.4 Taxes & Duties - Clients are responsible for any applicable taxes, duties, or import fees.

   4. Delivery & Installation

   4.1 Shipping & Delivery - Delivery timelines are estimates and subject to logistics constraints. We are not liable for delays beyond our control.   

   4.2 Installation - Certain hardware products may require professional installation.

   4.3 Risk & Ownership - Risk of loss transfers upon delivery. Ownership transfers upon full payment.

   5. Software Usage & Restrictions

   5.1 License Grant - Clients receive a limited, revocable license to use our software in accordance with the agreed terms.

   5.2 Prohibited Uses - Clients may not:

   - Modify, reverse-engineer, or decompile the software.

   - Share login credentials or access with unauthorised parties.

   - Use the software for unlawful purposes.

   5.3 Data Security & Privacy - Clients are responsible for securing their data. We comply with industry standards for data protection but are not liable for breaches caused by third-party actions.

   6. Warranties & Disclaimers

   6.1 Hardware Warranty - Our hardware is covered by a manufacturer's warranty for a specified period. The warranty does not cover misuse, unauthorised modifications, or accidental damage.

   6.2 Software Performance - While we strive for uptime and reliability, we do not guarantee uninterrupted access.

   6.3 General Disclaimer - We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose, except where required by law.

   7. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from the use of our Services, including but not limited to lost revenue, data loss,

or business interruptions.

   8. Intellectual Property

   All trademarks, patents, copyrights, and trade secrets related to our Services remain our exclusive property. Clients may not use our intellectual property without written permission.

   9. Termination & Suspension

   We may suspend or terminate access to our Services if a Client:

   - Breaches these Terms.
